The agreement governing your use of the BillBasket POS App

1. Introduction

Welcome to BillBasket, a point-of-sale, billing, invoicing, and reconciliation application developed and operated by BillBasket Solutions LLP ("BillBasket", "Company", "we", "our", or "us").

These Terms of Service ("Terms") form a legally binding agreement between BillBasket and any individual, business, organisation, institution, or other legal person ("Customer", "User", or "you") who accesses, installs, purchases, activates, subscribes to, or otherwise uses the BillBasket POS App and related services (collectively, the "Services").

These Terms should be read together with the following: Privacy Policy; Payment & Billing Policy; Refund & Cancellation Policy; Cookie Policy; Data Processing Agreement; Enterprise Service Agreement; Acceptable Use Policy; and any additional policies published by BillBasket.

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access, install, activate, or use the Services.

2. Acceptance of Terms

You accept these Terms when you install the POS App, activate a licence, create an account, purchase or renew a subscription, access our websites or cloud features, use any mobile application, click "I Agree" or similar, or otherwise use the Services. Where you act on behalf of an entity, you represent that you have authority to bind it.

3. Definitions

  • "Services" — the POS App and all related software, cloud features, websites, APIs, applications, updates, support, subscriptions, integrations, and future offerings.
  • "Software" — the BillBasket POS desktop application, mobile application, cloud components, executables, updates, patches, plugins, modules, APIs, documentation, and associated components.
  • "Subscription" — the paid right to access specified Services during the applicable period.
  • "License" — the limited, non-exclusive, non-transferable, revocable permission to install and use the Software in accordance with these Terms. Ownership of the Software always remains with BillBasket.
  • "Customer Data" — business information, invoices, products, inventory, accounting, reports, customer and vendor records, employee records, financial information, and other data entered, uploaded, or generated by the Customer using the Services.

4. Eligibility

You represent that you are legally capable of entering into binding contracts; that the information you provide is accurate and complete; that you will comply with applicable law; that, where acting for an organisation, you have authority to bind it; and that you will not use the Services for unlawful, fraudulent, or unauthorised purposes.

5. Scope of Services

The BillBasket POS App assists businesses with point-of-sale billing, invoicing, inventory, accounting support, reconciliation, reporting, and related operations. Depending on the edition, Services may include billing and invoicing, GST and e-invoicing, inventory and stock management, purchase and sales management, barcode features, reporting and analytics, payment acceptance (such as UPI, cards, net banking, and QR), cloud synchronisation, Google Drive backup, multi-company/multi-outlet management, user management, mobile companion apps, APIs and integrations, AI-powered features, and enterprise functionality. Some features may require additional subscriptions or modules. We may introduce, modify, enhance, suspend, or discontinue features at our reasonable discretion.

6. Customer Accounts

Certain Services require an account. You agree to provide accurate information, keep contact details current, safeguard credentials, promptly notify us of suspected unauthorised access, and remain responsible for all activity through your account. You shall not share credentials with unauthorised persons, create fraudulent accounts, impersonate others, or use automated methods to create accounts.

7. Software License

Subject to these Terms and payment of applicable fees, BillBasket grants you a limited, revocable, non-exclusive, non-transferable licence to install and use the Software for your own internal business purposes during the applicable licence or subscription period. This licence does not transfer ownership, does not grant access to source code, and remains subject to activation and verification. All rights not expressly granted are reserved by BillBasket.

8. Customer Responsibilities

You are responsible for using the Services lawfully, maintaining backups of your business information, protecting your own devices and passwords, ensuring the accuracy of data you enter, obtaining necessary permissions for data you process, and maintaining valid licences and subscriptions. For the Desktop Edition, your primary business data is ordinarily stored on your own systems; you remain solely responsible for its management, security, and backup.

9. Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms, applicable law, and the Acceptable Use Policy. You shall use the Services responsibly, maintain accurate and lawful business records, comply with applicable taxation and commercial laws, and promptly report security incidents.

10. Prohibited Activities

You shall not, directly or indirectly: copy, reproduce, distribute, or commercially exploit the Software except as permitted; reverse engineer, decompile, or disassemble it except to the limited extent permitted by law; modify or create derivative works; remove or conceal proprietary notices or licence keys; bypass or interfere with licensing, activation, or security mechanisms; use cracked versions, key generators, or pirated copies; lease, rent, sublicense, resell, or transfer the Software without prior written authorisation; introduce malware; attempt unauthorised access to our systems; use the Services for illegal or fraudulent activities; or interfere with others' access. Violation may result in immediate suspension or termination.

11. Desktop Software

The Desktop Edition is designed to operate primarily within your own computing environment. Unless you subscribe to Cloud Services, Customer Business Data is ordinarily stored on your own computer or storage; BillBasket does not routinely receive, store, access, monitor, or control such locally stored data; backup management remains your responsibility.

12. Cloud Services

Where you voluntarily subscribe to Cloud Services, Customer Data may be securely stored on infrastructure operated by or for BillBasket; ownership of Customer Data remains with you; we do not sell, commercially exploit, or claim ownership of Customer Data; and access is restricted to authorised personnel only where reasonably necessary for support, maintenance, legal compliance, or with your authorisation.

13. Mobile Applications

Where the POS App is available on Android, iOS, or other platforms, use is subject to these Terms and applicable platform requirements. Features may differ from the Desktop Edition, and apps may receive automatic platform updates.

14. Software Updates and New Features

We may release updates, security patches, bug fixes, enhancements, performance and compatibility updates, and new functionality. Some updates may install automatically where technically appropriate or required for security, stability, licensing integrity, or compliance. Some features may be available only under specific plans or editions.

15. Technical Support

We may provide support via email, telephone, WhatsApp, remote assistance, customer portal, help center, knowledge base, and AI-assisted support (where available). Availability, response times, and service levels may vary by plan, edition, enterprise agreement, and business hours.

16. Third-Party Services

The Services may integrate with third-party products such as Google Drive, payment gateways, SMS/email providers, WhatsApp Business integrations, barcode devices, printers, operating systems, database systems, cloud infrastructure, and government/taxation platforms. These operate independently under their own terms and privacy policies. We are not responsible for their availability, changes, pricing, security practices, or interruptions.

17. Subscriptions and License Validity

Certain Services are provided under subscription or term-based models. Unless stated otherwise: subscriptions are valid only for the purchased period; licences are limited to the authorised users, devices, branches, outlets, or locations specified; and renewal may be required to continue updates, cloud services, premium features, or support.

18. Intellectual Property Rights

All intellectual property rights in the Services remain the exclusive property of BillBasket Solutions LLP and its licensors, including software, source and object code, databases, algorithms, interface designs, documentation, graphics, trademarks, logos, trade names, business methods, APIs, architecture, workflows, reports, website content, mobile applications, and cloud platforms. Nothing in these Terms transfers intellectual property to you.

19. Customer Data

Customer Business Data belongs exclusively to the Customer. For the Desktop Edition, it is ordinarily stored on your own systems, and BillBasket does not routinely collect, copy, monitor, or store it; you remain responsible for protecting and backing it up. BillBasket shall not claim ownership of Customer Data under any circumstances. Processing of Personal Data is further governed by the Privacy Policy and Data Processing Agreement.

20. Privacy

The collection, processing, storage, disclosure, and protection of personal information are governed by the Privacy Policy, which forms part of these Terms. You remain responsible for obtaining any legally required permissions from your own employees, customers, suppliers, or others whose information you enter into the Software.

21. AI Features and Automation

Where the POS App introduces AI, machine learning, analytics, automation, or recommendation features, outputs are provided for informational purposes only; you remain responsible for independently reviewing business decisions; and we do not guarantee that AI outputs will always be complete, accurate, or suitable for every situation.

22. Beta Features

Beta, preview, experimental, or early-access features may contain bugs or incomplete functionality, may be modified or withdrawn at any time, may not receive regular support, and may be subject to additional terms. You use them at your own discretion.

23. Service Availability

We work to maintain reliable Services but cannot guarantee uninterrupted availability. Services may be unavailable due to scheduled or emergency maintenance, upgrades, security updates, infrastructure improvements, internet or cloud-provider disruptions, telecommunications failures, governmental actions, force majeure, or circumstances beyond our reasonable control.

24. Suspension of Services

We may temporarily suspend or restrict access where reasonably necessary, including for unpaid fees, software piracy, unauthorised licence sharing, suspected fraud, security risks, malware interference, material breach, or to comply with law or lawful governmental requests. Where practicable we provide prior notice; immediate suspension may occur where necessary to protect security, integrity, or lawful operation.

25. Termination

We may terminate or discontinue access where these Terms are materially breached, fraudulent or unlawful activity is identified, licences are repeatedly misused, intellectual property is infringed, payment obligations remain outstanding despite notice, or continued provision becomes unlawful. On termination, your licence ceases, and outstanding payment obligations remain enforceable.

26. Warranty Disclaimer

Except as expressly stated in a separate written agreement, the Services are provided on an "as is", "as available", and "with all faults" basis to the maximum extent permitted by law. We disclaim all warranties, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, uninterrupted availability, non-infringement, accuracy of reports or calculations, compatibility with third-party software or hardware, and freedom from errors.

27. Customer Responsibility for Business Decisions

The POS App is a tool to assist you. You remain solely responsible for accounting, inventory, taxation, invoicing, statutory compliance, financial reporting, regulatory filings, pricing, purchase and sales decisions, and all business operations conducted using the Services. Reports, analytics, AI recommendations, calculations, and alerts are operational tools only.

28. Limitation of Liability

To the maximum extent permitted by applicable law, BillBasket and its partners, directors, employees, licensors, contractors, affiliates, distributors, and representatives shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages. To the fullest extent permitted by law, our total aggregate liability for any claim relating to the Services shall not exceed the amount actually paid by the Customer to BillBasket for the applicable Service during the twelve (12) months preceding the event giving rise to the claim.

29. Indemnification

You agree to defend, indemnify, and hold harmless BillBasket Solutions LLP and its partners, directors, employees, licensors, affiliates, contractors, distributors, and representatives from claims, demands, liabilities, damages, losses, penalties, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, unlawful use of the Services, infringement of third-party rights, misuse or unauthorised distribution of the Software, Customer Data you process, violation of applicable law, or your negligent or fraudulent conduct.

30. Compliance With Applicable Laws

You agree to use the Services in compliance with all applicable laws, including those relating to taxation, accounting, invoicing, consumer protection, employment, data protection, electronic records, commercial transactions, and any industry-specific obligations. BillBasket provides software tools only and does not provide legal, accounting, taxation, audit, or regulatory advisory services unless expressly agreed in writing.

31. Force Majeure

We shall not be responsible for delays or failures arising from circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, strikes, internet or telecommunications failures, power failures, cloud or payment-gateway failures, cyberattacks, ransomware, and epidemics or pandemics.

32. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of India. The parties shall first attempt to resolve disputes through good-faith discussions. Unless otherwise required by applicable law or agreed in writing, the courts located in Pune, Maharashtra, India shall have exclusive jurisdiction.

India. You must comply with applicable laws including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, applicable GST law, and — where you accept digital payments — applicable Reserve Bank of India directions.

Nepal. Mandatory provisions of Nepali law apply, including the Electronic Transactions Act, 2008 (2063), the Individual Privacy Act, 2018 (2075), consumer-protection law, and applicable Nepal Rastra Bank directives.

Bangladesh. Mandatory provisions of Bangladeshi law apply, including the Information and Communication Technology Act, 2006, the Cyber Security Act, 2023, consumer-protection law, and applicable Bangladesh Bank regulations.

33. Changes to These Terms

We may amend these Terms to reflect changes in law, new products or features, security practices, technological developments, or business needs. The current version will be published on our official website and, unless otherwise required by law, becomes effective on publication. Continued use after the effective date constitutes acceptance.

34. General

These Terms constitute the entire agreement regarding the Services and supersede prior communications on the same subject. They should be read with the Privacy Policy, Payment & Billing Policy, Refund & Cancellation Policy, Cookie Policy, Data Processing Agreement, Enterprise Service Agreement, and Acceptable Use Policy. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remainder shall continue in effect.
